Terms

These terms govern your use of Agent Watch — the endpoint agent, the web application and the API. Using any of them means you accept them. If you are agreeing on behalf of a company, you are confirming you may bind it, and "you" means that company. Agent Watch is sold to organisations, not to consumers.

The service

Agent Watch measures what AI coding agents cost an engineering team and applies the budgets that team sets. We provide it as a hosted service and keep it reasonably available, but we do not commit to an uptime figure unless a separate written agreement says so. We may change or discontinue features; where a change materially reduces what the service does, we will tell account administrators before it takes effect.

Budgets and enforcement are a control you configure. They act on the signals we receive, and an agent that does not report to us cannot be measured or capped. Agent Watch is a measurement and policy tool, not a guarantee that spend will not exceed a number.

Accounts and access

Sign-in is through your identity provider — Google, GitHub or your own — and your organisation's administrator decides who may join it and what they may see. You are responsible for activity under your account and for keeping your credentials and any API tokens to yourself. Tell us at contact@agent-watch.ai if you believe an account or token has been compromised.

Each developer's activity is attributed to them by design. Before you deploy the endpoint agent, make sure you have told your developers what it collects and have whatever basis your jurisdiction requires for monitoring their work. That is your obligation, not ours.

Acceptable use

You agree not to:

• Resell, sublicense or offer the service to anyone outside your organisation.
• Copy, decompile or reverse engineer it, or build a competing product from it.
• Probe, overload or interfere with the service, or circumvent a rate or usage limit.
• Install the endpoint agent on machines you are not authorised to administer.
• Upload unlawful content, or use the service to break the law or infringe someone's rights.

We may suspend an account that is doing any of these, or that is putting the service or other customers at risk. Where the situation allows, we will warn you first and give you a chance to put it right.

Your data

You keep all rights in the data you or your developers send us. You grant us only the permission we need to host, process and display it in order to run the service for you, and to keep backups. The privacy page sets out what we collect, what never leaves a developer's machine, and how long we keep it; it is part of these terms. We may publish aggregated, de-identified statistics that cannot be traced to you or your developers.

Where we handle personal data on your behalf we do so as a processor under your instructions. A data processing agreement is available on request.

Fees

Paid plans are billed in advance at the price on your order, in the currency it names, and fees are non-refundable except where the law requires otherwise. Prices exclude VAT and other taxes, which you pay. We may change prices for a renewal term by telling you at least 30 days before it starts. If we are not charging you today — during a trial, a pilot or a free tier — the rest of these terms still apply.

Intellectual property

Agent Watch, including the software, the interface and the name, remains ours. We grant you a non-exclusive, non-transferable right to use it for your organisation's internal purposes for as long as these terms are in force, and nothing else is granted by implication. If you send us feedback or a suggestion we may act on it freely and without owing you anything.

Confidentiality

Each side may learn things about the other that are not public. Neither will disclose them, except to people who need to know and are held to the same duty, or where the law compels disclosure — in which case, notice first where that is permitted. This survives the end of these terms.

Warranties and liability

The service is provided as is. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the service will be uninterrupted or error-free or that its measurements are complete.

Neither side is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data. Our total liability arising out of these terms is capped at the fees you paid us in the twelve months before the claim, or US$100 if you paid nothing. Nothing here limits liability that cannot lawfully be limited — including fraud, and death or personal injury caused by negligence.

You will indemnify us against third-party claims arising from your use of the service in breach of these terms, or from data you sent us that you had no right to send.

Term and termination

These terms run until either side ends them. You may close your account at any time. We may end them on 30 days' notice, or immediately if you materially breach them and do not fix it within 14 days of being asked. On termination your access stops and, on request within 30 days, we will give you an export of your data; after that we delete it as the privacy page describes.

Changes

We may update these terms. If a change matters, we will tell account administrators at least 30 days before it takes effect, and continuing to use the service after that means you accept it. The date at the top of this page always shows the current version.

Law and disputes

These terms are governed by the laws of Israel, and the competent courts of Tel Aviv-Jaffa have exclusive jurisdiction. If a provision is unenforceable, the rest stands. Neither side may assign these terms without the other's consent, except to a successor of its business. These terms, with the privacy page and any order you have signed, are the whole agreement between us.
